Why corporate mistakes cost more in Thailand

Thai company law is strict on form: shareholder lists, registered capital, board minutes and filings with the Department of Business Development (DBD) must be right, in Thai, and on time. Contracts signed without Thai-law review often fail when they are needed most.

Our corporate lawyers handle the structure, the paperwork and the negotiations, so you can focus on the business while your company stays compliant.

What we do for you

Company setup

We choose the right structure with you (Thai limited company, branch, representative office or BOI company) and handle the registration, bank account and first filings.

Commercial contracts and negotiation

We draft, review and negotiate your agreements with Thai partners (supply, distribution, services, leases, shareholder agreements) so the terms protect you under Thai law.

Corporate due diligence

Before you invest, merge or acquire, we review the company's legal, tax and commercial position and tell you what the risks are and how to cover them.

Corporate changes and company secretary

Changes of shareholders, directors, capital, address or objectives, shareholder meetings and the annual corporate secretary work.

Licences and permits

Sector licences and permits for regulated activities, from simple notifications to multi-ministry applications.

Real estate

Due diligence, leases, land and factory transfers, and the ownership options open to foreigners.

Closing a company

Dissolution and liquidation, from a clean closure to a wind-down with creditors or tax issues to settle.

Bankruptcy and restructuring

Representation before the Thai Bankruptcy Court and the documents these proceedings require.

How we work

  1. Tell us your situation in writing

A short form: your company, your country and what you need. Attach documents if you have them.

  2. Get a first view and a price

A lawyer reviews your request and replies in writing with the options, the steps and the fee.

  3. Meet online, then we act

We meet online with the lawyer in charge when it helps, then handle the work and keep you updated.

Frequently asked questions

Can a foreigner own 100% of a Thai company?

For activities restricted by the Foreign Business Act, foreigners can generally hold up to 49% of a Thai company. Full foreign ownership is possible with BOI promotion, a Foreign Business Licence or, for US citizens and companies, the US-Thai Treaty of Amity. We tell you which route fits your activity.

How long does it take to register a Thai limited company?

Usually one to two weeks once all documents are ready. Reserving the company name with the DBD takes one to three days.

Do my contracts have to be in Thai?

Contracts between companies can be in English, but anything filed with a government office must be in Thai, and Thai courts work in Thai. We prepare bilingual versions when it matters.
