The structure decides everything that follows

Your structure decides who can own the shares, whether you need a Foreign Business Licence, how many work permits you can get and what you pay in tax. Getting it right at the start avoids expensive restructuring later.

We prepare the documents, deal with the Department of Business Development and the Revenue Department, and help you open the corporate bank account.

Structures open to foreign investors

We advise on and register each of them:

Thai limited company

The most common choice: a separate legal entity with liability limited to the shares. Up to 49% foreign ownership for restricted activities, more with BOI, an FBL or the Treaty of Amity.

BOI-promoted company

For promoted activities and larger investments: tax incentives, 100% foreign ownership, land ownership and easier work permits.

Partnership

Ordinary or limited partnerships for simple collaborations, with profits and risks shared between partners.

Branch, representative or regional office

A presence for a foreign company: representative offices for research and liaison without revenue, branches and regional offices for wider operations.

How we register a Thai limited company

Once the structure is agreed, the registration itself is quick.

  1. Reserve the company name

    We reserve two or three names with the DBD. Names end with "Limited" and must not conflict with existing companies. Approval takes one to three days.

  2. Confirm shareholders and directors

    At least two shareholders (Thai or foreign) and one director. For mixed ownership, Thai shareholders must show they fund their own shares.

  3. Prepare and file the memorandum of association

    Company name, address, objectives, registered capital and shareholders. We size the capital for your plans, including THB 2 million per future foreign employee where needed.

  4. Hold the statutory meeting and register

    Shareholders adopt the articles, elect the directors and appoint an auditor; the registration is filed once at least 25% of the share capital is paid.

  5. Register for tax

    Corporate tax ID within 60 days, and VAT registration once turnover exceeds THB 1.8 million a year (or earlier by choice).

  6. Open the company bank account

    We prepare the bank's file (company affidavit, memorandum, directors' identification and board resolution) and accompany you.

Frequently asked questions

What is the minimum capital for a Thai company?

There is no general legal minimum, but in practice THB 2 million per foreign employee is needed for work permits, and some activities or licences require more (for example THB 3 million for many Foreign Business Licences).

Do I need to come to Thailand to register?

Not necessarily. Most documents can be signed abroad and sent to us, although banks usually meet the directors in person to open the account.

How many shareholders are required?

At least two shareholders since the 2023 amendment to the Civil and Commercial Code, and at least one director.
